1. Introduction and Acceptance of Terms
These Terms and Conditions ('Terms') constitute a legally binding agreement between the user ('you', 'your', 'User', or 'Dealer') and Capital Bolts & Hardwares ('CBH', 'we', 'us', or 'our'), a company registered and operating under the laws of India, governing your access to and use of the website [https://cbh.store], our online procurement platform, mobile applications, and any services, features, or content offered therein (collectively, the 'Platform').
By accessing, browsing, registering with, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue use of the Platform and any services offered by CBH.
CBH reserves the right to modify or update these Terms at its sole discretion and without prior notice. Continued use of the Platform after such modifications shall constitute your consent to the revised Terms. We recommend reviewing this page periodically for updates.
2. Eligibility and User Account Obligations

You agree to provide true, accurate, and complete information during account creation and to promptly update such information as necessary. CBH reserves the right to terminate or restrict access to any account found to be based on misleading or fraudulent information.
3. Products, Pricing, and Availability
3.1 Product Listings
All products listed on the Platform, including their descriptions, specifications, dimensions, finishes, standards (e.g., DIN, IS), and images, are published in good faith and for general informational purposes only. While CBH strives to ensure accuracy, we do not warrant that product details are complete, current, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice.
3.2 Custom Orders and Technical Specifications
Where applicable, Users may request custom-manufactured fasteners, OEM components, or bulk supply under specific technical parameters. It is the responsibility of the User to provide accurate drawings, standards, or material grades. CBH disclaims liability for performance failures arising from incomplete or inaccurate instructions provided by the User.
3.3 Pricing and Currency

All prices listed on the Platform are subject to change without prior notice and are exclusive of applicable taxes, duties, shipping charges, and levies unless explicitly stated otherwise.

Pricing may vary depending on region, quantity, dispatch method, or contractual status (e.g., registered dealer vs guest buyer).

Prices are quoted in INR (Indian Rupees) for domestic transactions and in USD or other currencies for international buyers as applicable.
3.4 Availability and Stock Status

Product availability is dynamic and may change due to inventory movement, production schedules, or supply chain constraints.

CBH does not guarantee the availability of any item until an order is confirmed and acknowledged.

In case of stockouts, CBH reserves the right to cancel or delay the order in part or full, with appropriate notification to the User.
3.5 Order Acceptance and Fulfillment

All orders placed via the Platform are deemed as offers to purchase and are subject to CBH's acceptance, which may occur through an order confirmation, invoice issuance, or shipment dispatch notice.

CBH reserves the right to refuse or cancel any order at its discretion, including but not limited to those arising from pricing errors, insufficient inventory, or regulatory restrictions.
4. Payment Terms and Invoicing
4.1 Accepted Payment Methods
CBH accepts the following payment methods for orders placed through its Platform:

CBH may modify accepted payment methods at any time without prior notice.
4.2 Invoicing and Taxation

All transactions are accompanied by a tax-compliant invoice issued in accordance with applicable Indian laws and export regulations.

Domestic invoices include Goods and Services Tax (GST) as applicable.

International invoices may include export declarations, HS codes, and currency conversions in accordance with customs and compliance norms.
Invoices are typically issued electronically and shared with the registered email address provided at the time of order.
4.3 Payment Due Dates

For standard B2B purchases, payment must be completed at the time of placing the order unless credit terms have been explicitly agreed upon in writing.

For approved dealers with credit accounts, payment must be made strictly within the credit period (e.g., Net 15/30/45 days) as per the dealer agreement.

Late payments may attract interest at the prevailing commercial rate or as specified in the respective agreement.
4.4 Non-Payment and Order Suspension
CBH reserves the right to:

Withhold or suspend fulfillment of pending orders in case of outstanding dues.

Cancel discounts, revoke dealer privileges, or initiate recovery procedures for non-payment.

Report the default to relevant trade or credit reporting bureaus as permitted by law.
4.5 Currency and Bank Charges

For international transactions, Users shall bear all bank charges, currency conversion fees, and intermediary banking costs associated with remittance.

The net invoice amount must be credited to CBH's designated account in full and without deductions.
5. Shipping, Delivery, and Risk of Loss
5.1 Shipping Scope and Responsibility
CBH offers shipping and dispatch services for orders placed via the Platform, subject to applicable freight charges, handling conditions, and territory coverage. Shipping may be carried out by:

CBH's internal logistics team;

Authorized third-party logistics providers;

Freight forwarders or shipping agents for international consignments.
CBH shall not be responsible for delays or failures caused by force majeure events, customs clearance delays, or carrier disruptions beyond its reasonable control.
5.2 Dispatch and Delivery Timelines

Estimated dispatch dates and delivery schedules are indicative and non-binding.

Lead times may vary depending on product type, quantity, packaging requirements, transportation mode, and destination.

For made-to-order or bulk procurement items, production time shall be added to the estimated delivery window.
CBH shall notify Users of delays or partial fulfillment, where applicable.
5.3 International Shipping and Export Compliance
For cross-border orders:

The User shall ensure the accuracy of import documentation, consignee details, and any licenses or permits required by the destination country.

CBH shall provide necessary export documentation such as invoices, packing lists, HS codes, and certificates of origin, as applicable.

Any duties, tariffs, customs brokerage charges, or import restrictions shall be borne solely by the consignee.
5.4 Transfer of Risk

Risk of loss, damage, or deterioration to goods shall pass to the User upon dispatch from CBH's facility or upon handover to the designated carrier, whichever occurs first.

For Ex-Works (EXW), FOB, or CIF contracts, risk shall transfer in accordance with the applicable Incoterm agreed between the parties.
5.5 Inspection and Claims

Users must inspect all shipments upon delivery and report any visible damage or shortfall within 48 hours of receipt.

Claims for concealed damage or quantity mismatch must be supported with photographic evidence and submitted within five (5) business days.
-
Failure to report in the prescribed time shall constitute deemed acceptance of the goods.
6. Returns, Cancellations, and Refunds
6.1 Return Eligibility
Returns may be accepted only under the following conditions:

The product received is materially defective, damaged in transit, or significantly different from the order specifications.

The return request is submitted within seven (7) days of receipt of goods, along with documentary evidence (e.g., photos, delivery note, invoice reference).

The goods are unused, in their original packaging, and in saleable condition unless the defect makes such return impractical.
Custom-fabricated, special-order, or non-standard items are non-returnable, except where proven defective or not in conformity with the agreed specifications.
6.2 Return Authorization and Procedure

All returns must be authorized in writing by CBH before goods are shipped back.

Unauthorized or unsolicited returns will not be accepted and may be rejected at the sender's cost.

The User shall bear the cost of return shipping unless the return arises from CBH's error or defective supply.
CBH may, at its discretion, arrange for reverse pickup through its logistics partners.
6.3 Order Cancellations

Orders may be cancelled prior to dispatch or production by submitting a formal written request to CBH.

CBH reserves the right to charge cancellation fees for bulk, customized, or production-stage orders to cover administrative and material losses.

Orders already shipped or in transit are not eligible for cancellation and must be processed under the return policy, if applicable.
6.4 Refund Policy

Refunds for eligible returns or cancellations shall be processed within ten (10) business days of goods being received and inspected by CBH.

Refunds will be made to the original payment method or, in the case of dealer accounts, adjusted as a credit note against future orders.

CBH shall not be liable for delays caused by third-party banks, gateways, or international remittance timelines.
7. Intellectual Property and Platform Usage Restrictions
7.1 Ownership of Intellectual Property
All content and materials available on the Platform, including but not limited to product catalogs, specifications, images, brand logos, software code, interface design, downloadable resources, and textual information, are the intellectual property of Capital Bolts & Hardwares ('CBH') or its licensors.
Such content is protected by applicable intellectual property laws, including the Indian Copyright Act, 1957, the Trademarks Act, 1999, and international treaties. All rights not expressly granted herein are reserved.
7.2 Limited License to Use
Subject to compliance with these Terms, CBH grants Users a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for lawful business purposes, such as viewing product information or placing orders.
This license does not permit:

Republishing, copying, or distributing Platform content for commercial gain;

Framing or mirroring any part of the Platform without CBH's prior written consent;

Using automated tools (e.g., bots, scrapers) to extract content or pricing data.
7.3 Trademark Notice
All CBH trademarks, service marks, trade names, logos, and slogans — whether registered or unregistered — are the property of CBH. Use of these marks without express authorization is strictly prohibited.
Any unauthorized use, imitation, or reproduction of CBH's trademarks, whether on physical goods, packaging, or digital media, may result in legal action.
7.4 User Content and Submissions
By submitting any content to CBH through the Platform (e.g., product reviews, testimonials, feedback), the User grants CBH a worldwide, royalty-free, perpetual license to use, reproduce, publish, and display such content for promotional or service improvement purposes, subject to applicable privacy laws.
CBH retains the right to moderate, remove, or refuse any submitted content that violates these Terms or applicable law.
7.5 Prohibited Conduct
Users shall not:

Interfere with or disrupt Platform functionality, servers, or networks;

Attempt to gain unauthorized access to CBH's systems or data;

Engage in any activity that could damage CBH's reputation, intellectual property, or digital integrity.
Violations may result in suspension of access, legal action, and/or prosecution under applicable laws.
8. Limitation of Liability and Indemnity
8.1 Disclaimer of Warranties
CBH makes reasonable efforts to ensure the accuracy and availability of information, products, and services offered through the Platform. However, except as expressly stated in writing:

All content, products, and services are provided on an 'as is' and 'as available' basis.

CBH makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability of the Platform.

CBH disclaims all liability for technical inaccuracies, typographical errors, or outdated content.
8.2 Exclusion of Liability
To the maximum extent permitted by applicable law, CBH shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to:

Business interruption, production delays, or loss of anticipated profits;

Defective installation or misuse of products by the User or third parties;

Logistics delays, regulatory clearance failures, or export/import restrictions;

Loss of data, unauthorized access to accounts, or errors in order processing.
In no event shall CBH's aggregate liability exceed the total amount paid by the User for the specific order giving rise to the claim.
8.3 Indemnification
You agree to indemnify, defend, and hold harmless CBH, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising out of or in connection with:

Your violation of these Terms or applicable law;

Your misuse or unauthorized use of the Platform or CBH products;

Any claim by a third party based on materials or specifications provided by you for customized orders;

Any breach of warranty, representation, or undertaking made by you.
This indemnity obligation shall survive termination of these Terms and your use of the Platform.
9. Termination and Suspension of Access
9.1 Right to Suspend or Terminate
CBH reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate a User's access to the Platform, dealer account, or related services in the event of:

Violation of these Terms or any applicable law;

Submission of false, misleading, or fraudulent information;

Non-payment of dues or breach of agreed credit terms;

Unauthorized access attempts or suspected security breaches;

Misuse of CBH's intellectual property or brand assets;

Any conduct deemed harmful to CBH's operations, reputation, or digital integrity.
Such action may be temporary or permanent, depending on the severity of the breach.
9.2 Termination by the User
Users may request voluntary termination of their account by submitting a written request to CBH's support or designated officer. Termination shall not relieve the User of any outstanding financial or contractual obligations.
9.3 Effect of Termination
Upon termination:

Access credentials shall be deactivated and further transactions restricted.

CBH may retain historical data in accordance with its Data Retention Policy and applicable law.

Any pending orders or invoices must be resolved before closure of the account.
9.4 Survival of Provisions
Sections relating to intellectual property, limitation of liability, indemnity, governing law, and dispute resolution shall survive any termination of these Terms or the User's access to the Platform.
10. Governing Law and Jurisdiction
10.1 Applicable Law
These Terms and any disputes arising out of or in connection with the use of the Platform, products, or services offered by CBH shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles.
10.2 Jurisdiction
Subject to the provisions of Section 10.3 below, you agree that the courts located in Ludhiana shall have exclusive jurisdiction over any disputes, claims, or legal proceedings arising under or in relation to these Terms or the use of CBH's Platform and services.
10.3 Alternative Dispute Resolution
Where permitted and appropriate, CBH may, at its sole discretion, attempt to resolve disputes amicably through negotiation, mediation, or arbitration before initiating formal legal proceedings.
10.4 International Users
Users accessing the Platform from outside India are responsible for compliance with all local laws and regulations applicable to their jurisdiction. CBH makes no representation that the content or services available through its Platform are appropriate or lawful for use in any location outside India.
11. Consent to Communication & Regulatory Compliance
11.1. Consent to Contact and Communication
You hereby give explicit, informed, and voluntary consent to CBH and its authorized agents, representatives, and affiliates to contact you through automated and manual means such as Interactive Voice Response (IVR) calls, telephonic conversations, SMS, push notifications, and other electronic channels for the purpose of providing information regarding products, services, promotional offers, and updates.11.2. Purpose and Scope of Data Usage
The personal data collected through this form shall be used exclusively for telemarketing, customer relationship management, and service delivery purposes. The Company affirms that all such activities shall be carried out in strict compliance with applicable Indian laws, including the Telecom Regulatory Authority of India (TRAI) regulations, the Information Technology Act, 2000, and relevant data protection laws.
11.3. Compliance with TRAI Regulations
The Company confirms adherence to all TRAI guidelines pertaining to telemarketing activities, including but not limited to:
- Respecting consumers' Do Not Disturb (DND) preferences.
- Honoring opt-out requests communicated by consumers.
- Maintaining records of consent and opt-out requests as required by TRAI.
- Limiting the frequency and timing of calls as prescribed by regulatory standards.
11.4. Opt-Out Rights and DND Registration
You acknowledge that you have the right to withdraw your consent at any time. To do so, you may:
- Follow the opt-out instructions provided in our communications.
- Register your number on the National DND Registry.
- Contact the Company directly to request cessation of communication.
The Company shall honor all valid opt-out and DND requests and shall cease contact within the time frame stipulated by TRAI regulations.
11.5. Data Privacy and Confidentiality
All personal information collected shall be processed in accordance with the Company's Privacy Policy and applicable laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. The data shall not be shared, sold, or disclosed to third parties without your explicit consent, except where required by law.
11.6. Limitation of Liability
The Company shall not be held liable for any damages, claims, or losses arising from the telecommunication activities conducted in accordance with applicable laws, including TRAI regulations. All services provided are subject to compliance with regulatory standards, and the Company disclaims any liability for any violations committed by the user or third parties.
11.7. Legal and Regulatory Disclaimer
This consent is given voluntarily and is subject to the applicable laws of India, including the TRAI regulations governing telemarketing and consumer protection. Any breach of these laws may attract penalties, fines, and sanctions imposed by regulatory authorities. The Company shall not be liable for any legal consequences arising from non-compliance by the user.
11.8. Duration and Revocation of Consent
Your consent shall remain valid until explicitly revoked. You may withdraw your consent or opt-out at any time by contacting the Company or following the unsubscribe instructions provided in our communications. Upon receipt of such request, the Company shall ensure that no further contact is made within the statutory time frame.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements entered into between you and CBH in connection with specific products or services, constitute the entire agreement between the parties and supersede any prior understandings or representations, whether written or oral.
12.2 Force Majeure
CBH shall not be held liable for any delay or failure in performance arising from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor strikes, embargoes, internet outages, supply chain disruptions, or government regulations ('Force Majeure Events').
12.3 Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed without affecting the validity of the remaining provisions, which shall remain in full force and effect.
12.4 No Waiver
No failure or delay by CBH in enforcing any right or provision of these Terms shall be deemed a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative of CBH.
12.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without CBH's prior written consent. CBH may freely assign its rights and obligations to any affiliated entity, successor, or acquirer of its business.
